General Terms and Conditions of Business (T&C)

§ 1 General, contracting parties

(1) This term of condition applies for all orders you process with the company:

(2) The range of goods is exclusively addressed to adults of full age.
(3) All our offers, supplies, goods and services are exclusively based on this term of condition. Towards merchants the single inclusion of the term of condition is sufficient to maintain the legal basis for all future business connection. Terms of condition of any purchaser are not valid and dissent already now.
(4) The contractual language is exclusively English.

§ 2 Conclusion of contract

(1) The product descriptions contained in our online shop do not constitute binding offers by the seller, but serve to make a binding offer by the customer.
(2) The customer can submit his offer via the integrated online order form in the analogvibes online shop. In this case, after the customer has placed the selected goods in the shopping cart and has gone through the electronic ordering process, by clicking on the button that concludes the ordering process, the cus-tomer submits a binding contract offer regarding the goods contained in the shopping cart.
(3) The seller can accept the offer of the customer within five days,

  • by sending to the customer a written order confirmation or an order confirmation in text form (fax or e-mail), in which case the receipt of the order confirmation at the customer is decisive,or
  • by delivering the ordered goods to the customer, in which case the receipt of the goods to the customer is decisive, or
  • by asking the customer for payment after submitting his order.

If more than one of the alternatives mentioned above are given, the contract comes into effect at the time when one of the aforementioned alternatives occurs first. The period for acceptance of the offer begins on the day following the date on which the offer is sent by the customer and ends on the fifth day following the dispatch of the offer. If the seller does not accept the offer of the customer within the aforementioned period, this shall be considered as a rejection of the offer with the consequence that the customer is no longer bound by his declaration of intent.
(4) When submitting an offer via the online order form, the contract text will be stored by the seller and sent to the customer after sending his order along with the present terms and conditions by e-mail. In addition, the contract text is archived on the seller’s website and can be retrieved by the customer via his password-protected customer account, if such an account was created by the costumer.
(5) Before the order is placed on the seller’s online order form, the customer can identify possible input errors by carefully reading the information displayed on the screen. An effective technical mean for better recognition of input commands can be the enlargement function of the browser with the effect, that the displayed content on the screen is enlarged. As part of the ordering process, the customer can correct his inputs using the usual keyboard and mouse functions until he clicks on the button that ends the ordering process
(6) For the conclusion of the contract, only the English language is available.

§ 3 Ordering process

(1) When you place the desired products in the cart and press “go to cart”, you´ll be redirected to the checkout table to complete the order process.
(2) You can change the content of the shopping cart in the order overview (cart).
(3) For contract execution, you will be asked to enter your delivery and billing information. Delivery and billing address can be specified differently.
(4) Select one of our provided payment methods.
(5) Before completing the order process, you have the option to add a comment or a note to the seller.
(6) You can correct and change all entries with mouse and keyboard before completing the order process.
(7) You complete the order process by clicking on the “submit” field.
(8) Your order details and our terms and conditions so than will be sent to you by e-mail.
(9) The contract language for the order process is English only.

§ 4 Disclaimer

Analogvibes shall be liable for damage arising from causes other than the detriment to life, body and health only to the extent that such damage arises from willful misconduct, gross negligence or the cul-pable violation of a fundamental contractual obligation on the part of analogvibes or one of its vicarious agents. Any further liability for damages shall be excluded. The provisions of the German Product Liabil-ity Act shall remain unaffected. In the event of a negligent breach of a material contractual obligation, the liability of analogvibes shall be limited to foreseeable damage.

§ 5 Warranty

(1) Defects or any other damage caused by negligent or improper treatment of the goods, improper installation, the use of unsuitable accessories or changes made to the original parts by the customer or a third party not commissioned by analogvibes are not covered by the warranty.
(2) Signs of wear and tear from normal use are also excluded from the warranty.
(3) If the customer accepts the goods or the object of the order despite being aware of a defect, he/she shall only be entitled to assert warranty claims to the extent described below if he/she has expressly reserved the right hereto in writing immediately after receiving the goods.
(4) Warranty claims on the grounds of transportation damage may only be asserted by the customer if the obligation to inspect the good and report the damage has been fulfilled. This does not apply if the cus-tomer is a consumer.
(5) The warranty period for new items shall be 24 months. The period shall commence upon transfer of risk. Conversely, the warranty period for used items shall be 12 months. If the customer acts as a busi-ness, the warranty period for new items shall be one year and six months from the transfer of risk, and for used items six months from this date.
(6) Warranty formalities shall otherwise be carried out in congruence with the legal regulations.

§ 6 Retention of title

(1) If the customer is a merchant within the meaning of the German Commercial Code, the goods supplied shall remain the property of analogvibes until all the outstanding claims against the customer, including any existing ancillary receivables, have been paid in fully. In case of contracts concluded with consum-ers, analogvibes shall reserve the right of retention for the goods until the purchase price has been paid in fully.
(2) The customer shall not be entitled to sell the goods to third parties or to take any other measures which could put the ownership of analogvibes at risk until the purchase price has been paid in fully. The cus-tomer hereby assigns to analogvibes any future claims against the buyer in the amount of the purchase price agreed between analogvibes and the customer, including interests and ancillary payments. analogvibes accepts this assignment.

§ 7 Out-of-court dispute resolution

The EU Commission has created an online platform for dispute resolution (“ODR platform”) available at: http://ec.europa.eu/odr. If the customer is a consumer living in the European Union, this platform can be used to resolve disputes regarding contractual obligations from online contracts out of court. We are obligated to inform you of the existence of this ODR platform and in this context also of our email address (info@analogvibes.com). We endeavor to solve any differences of opinion concerning contracts concluded with our customers amicably via our customer services. Furthermore, we are not obliged to participate in a dispute settlement proceeding in front of a consumer arbitration board, nor Analog Vibes is prepared to do so on principle.

§ 8 closing provisions

(1) The law of the Federal Republic of Germany shall apply with the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. Should the purchaser also be the consum-er, this only applies to the extent that they do not lose the protection of binding legal provisions of their state of usual residence.
(2) If a consumer has its state of usual residence outside the EU or the EEA, the law of the Federal Republic of Germany shall apply with the exclusion of the United Nations Convention on Contracts for the Inter-national Sale of Goods and the German consumer rights. This only applies to the extent that they do not lose the protection of binding legal provisions of their state of usual residence.
(3) The place of fulfilment for all services and products arising from business transactions with analogvibes shall be Tübingen, insofar as the customer is a merchant, a legal person governed by public law or a special fund under public law.
(4) If the customer is a merchant, legal person governed by public law or special fund under public law, Tübingen shall be the exclusive place of jurisdiction for any disputes arising directly or indirectly from the contractual relationship with the customer or from these General Terms and Conditions of Business.



Allgemeine Geschäftsbedingungen (AGB)

§ 1 Allgemeines, Vertragspartner

(1) Die allgemeinen Geschäftsbedingungen gelten für alle Bestellungen, die Sie über die Firma:

(2) Das Warenangebot richtet sich ausschließlich an Volljährige.
(3) Unsere Angebote, Lieferungen und Leistungen erfolgen ausschließlich auf der Grundlage dieser AGB. Gegenüber Unternehmern genügt die einmalige Einbeziehung der AGB um Grundlage auch aller künftigen Geschäftsbeziehungen zu sein. AGB eines Käufers werden bereits jetzt widersprochen.
(4) Die Vertragssprache ist ausschließlich Englisch.

§ 2 Vertragsschluss

(1) Die in unserem Online-Shop enthaltenen Produktbeschreibungen stellen keine verbindlichen Angebote seitens des Verkäufers dar, sondern dienen der Abgabe eines verbindlichen Angebots durch den Kunden.
(2) Der Kunde kann sein Angebot über das im analogvibes-Online-Shop integrierte Online-Bestellformular abgeben. Dabei gibt der Kunde, nachdem er die ausgewählten Waren in den virtuellen Warenkorb gelegt und den elektronischen Bestellprozess durchlaufen hat, durch Klicken des den Bestellvorgang abschließenden Buttons ein verbindliches Vertragsangebot in Bezug auf die im Warenkorb enthaltenen Waren ab.
(3) Der Verkäufer kann das Angebot des Kunden innerhalb von fünf Tagen annehmen,

  • indem er dem Kunden eine schriftliche Auftragsbestätigung oder eine Auftragsbestätigung in Textform (Fax oder E-Mail) übermittelt, wobei insoweit der Zugang der Auftragsbestätigung beim Kunden maßgeblich ist, oder
  • indem er dem Kunden die bestellte Ware liefert, wobei insoweit der Zugang der Ware beim Kunden maßgeblich ist, oder
  • indem er den Kunden nach Abgabe von dessen Bestellung zur Zahlung auffordert.

Liegen mehrere der vorgenannten Alternativen vor, kommt der Vertrag in dem Zeitpunkt zustande, in dem eine der vorgenannten Alternativen zuerst eintritt. Die Frist zur Annahme des Angebots beginnt am Tag nach der Absendung des Angebots durch den Kunden zu laufen und endet mit dem Ablauf des fünften Tages, welcher auf die Absendung des Angebots folgt. Nimmt der Verkäufer das Angebot des Kunden innerhalb vorgenannter Frist nicht an, so gilt dies als Ablehnung des Angebots mit der Folge, dass der Kunde nicht mehr an seine Willenserklärung gebunden ist.
(4) Bei der Abgabe eines Angebots über das Online-Bestellformular wird der Vertragstext vom Verkäufer gespeichert und dem Kunden nach Absendung seiner Bestellung nebst den vorliegenden AGB per E-Mail zugeschickt. Zusätzlich wird der Vertragstext auf der Internetseite des Verkäufers archiviert und kann vom Kunden über sein passwortgeschütztes Kundenkonto unter Angabe der entsprechenden Login-Daten kostenlos abgerufen werden, sofern der Kunde vor Absendung seiner Bestellung ein Kundenkonto im Online-Shop des Verkäufers angelegt hat.
(5) Vor verbindlicher Abgabe der Bestellung über das Online-Bestellformular des Verkäufers kann der Kunde mögliche Eingabefehler durch aufmerksames Lesen der auf dem Bildschirm dargestellten Informationen erkennen. Ein wirksames technisches Mittel zur besseren Erkennung von Eingabefehlern kann dabei die Vergrößerungsfunktion des Browsers sein, mit deren Hilfe die Darstellung auf dem Bildschirm vergrößert wird. Seine Eingaben kann der Kunde im Rahmen des elektronischen Bestellprozesses so lange über die üblichen Tastatur- und Mausfunktionen korrigieren, bis er den Bestellvorgang abschließenden Button anklickt.
(6) Für den Vertragsschluss steht ausschließlich die englische Sprache zur Verfügung.

§ 3 Bestellprozess

(1) Wenn Sie die gewünschten Produkte in den Warenkorb (Cart) legen und “go to cart” drücken, werden Sie auf die Bestellübersichtsseite (Checkout-Table) weitergeleitet um den Bestellvorgang zu durchlaufen und abzuschließen.
(2) In der Bestellübersicht (Cart/Warenkorb) ist es Ihnen möglich, den Inhalt des Warenkorbs zu ändern.
(3) Hierbei werden Sie zum Zwecke der Vertragsabwicklung aufgefordert Ihre Liefer- und Rechnungsdaten einzugeben. Liefer- und Rechnungsadresse können unterschiedlich angegeben werden.
(4) Wählen Sie eine unserer zur Verfügung gestellten Zahlungsarten aus.
(5) Vor dem Abschluss des Bestellvorgangs haben Sie die Möglichkeit einen Kommentar oder einen Hinweis an den Verkäufer hinzuzufügen.
(6) Sie können vor Abschluss des Bestellvorgangs sämtliche Eingaben mit Maus und Tastatur berichtigen und ändern.
(7) Sie schließen den Bestellvorgang mit einem Klick auf das Feld “submit” ab.
(8) Ihre Bestelldaten und unsere Allgemeinen Geschäftsbedingungen werden Ihnen sodann per E-Mail zugesandt.
(9) Die Vertragssprache für den Bestellvorgang ist ausschließlich Englisch.

§ 4 Haftungsausschluss

Für andere als durch Verletzung von Leben, Körper und Gesundheit entstehende Schäden haftet analogvibes lediglich, soweit diese auf analogvibes vorsätzlichem oder grob fahrlässigem Handeln oder auf schuldhafter Verletzung einer wesentlichen Vertragspflicht (Kardinalpflichten) durch analogvibes oder eines Erfüllungsgehilfen beruhen. Eine darüberhinausgehende Haftung auf Schadensersatz ist ausgeschlossen. Die Bestimmungen des Produkthaftungsgesetzes bleiben unberührt. Wird eine wesentliche Vertragspflicht fahrlässig verletzt, so ist die Haftung von analogvibes auf den vorhersehbaren Schaden begrenzt.

§ 5 Gewährleistung für Mängel

(1) Mängel oder Beschädigungen, die auf schuldhafte oder unsachgemäße Behandlung oder unsachgemäßen Einbau sowie Verwendung ungeeigneten Zubehörs oder Änderungen der Originalteile durch den Kunden oder einem von analogvibes nicht beauftragten Dritten zurückzuführen sind, sind von der Gewährleistung ausgeschlossen.
(2) Ein auf Gebrauch beruhender Verschleiß ist von der Gewährleistung ebenfalls ausgeschlossen.
(3) Nimmt der Kunde die Ware oder den Auftragsgegenstand trotz Kenntnis eines Mangels an, stehen ihm Gewährleistungsansprüche in dem nachstehend beschriebenen Umfang nur zu, wenn er sich diese ausdrücklich und in Textform (z. B. E-Mail) unverzüglich nach Empfang der Ware vorbehält.
(4) Gewährleistungsansprüche wegen bestehender Transportschäden stehen dem Kunden nur zu, wenn er seiner Untersuchungs- und Anzeigepflicht für Schäden nachgekommen ist. Dies gilt nicht, wenn der Kunde Verbraucher ist.
(5) Die Gewährleistungsfrist für neue Sachen beträgt 24 Monate. Die Frist beginnt mit Gefahrübergang zu laufen. Die Gewährleistungsfrist für gebrauchte Sachen beträgt abweichend 12 Monate. Ist der Kunde Unternehmer, so beträgt die Gewährleistungsfrist für neue Sachen ein Jahr und für gebrauchte Sachen sechs Monate ab Gefahrübergang.
(6) Im Übrigen richtet sich die Gewährleistung nach den gesetzlichen Vorschriften.

§ 6 Eigentumsvorbehalt

(1) Bis zur vollständigen Bezahlung aller gegen den Kunden bestehenden Ansprüche, einschließlich aller bestehenden Nebenforderungen, verbleibt die gelieferte Ware im Eigentum von analogvibes, soweit der Kunde Kaufmann ist. Bei Verträgen mit Verbrauchern behält sich analogvibes das Eigentum bis zur vollständigen Zahlung des Kaufpreises vor.
(2) Der Kunde ist nicht berechtigt, die Ware bis zur vollständigen Bezahlung des Kaufpreises an Dritte zu veräußern oder sonstige, das Eigentum von analogvibes gefährdende Maßnahmen zu ergreifen. Der Kunde tritt bereits jetzt seine künftigen Ansprüche gegenüber dem Erwerber in Höhe des zwischen analogvibes und dem Kunden vereinbarten Kaufpreises samt Zinsen und Nebenforderungen an analogvibes ab. Analogvibes nimmt diese Abtretung an.

§ 7 Außergerichtliche Streitbeilegung

Die EU-Kommission stellt unter dem Link http://ec.europa.eu/odr eine Online-Plattform zur Streitbeilegung („OS-Plattform“) zur Verfügung. Sofern der Kunde ein in der europäischen Union wohnhafter Verbraucher ist, besteht die Möglichkeit, zur außergerichtlichen Beilegung von Streitigkeiten über vertragliche Verpflichtungen aus Online-Kaufverträgen diese Plattform zu nutzen. Wir sind verpflichtet, Sie über die Existenz dieser OS-Plattform und in diesem Zusammenhang auch über unsere E-Mail-Adresse (legends@analogvibes.com) zu informieren. Wir bemühen uns, mögliche Meinungsverschiedenheiten bezüglich mit unseren Kunden geschlossenen Verträgen einvernehmlich über unseren Kundenservice zu lösen. Darüber hinaus sind wir zur Teilnahme an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle nicht verpflichtet und grundsätzlich auch nicht bereit.

§ 8 Schlussbestimmungen

(1) Es gilt ausschließlich deutsches Recht unter Ausschluss des UN-Kaufrechts (CISG). Für den Fall, dass der Käufer Verbraucher ist, gilt dies nur insoweit, als nicht der gewährte Schutz durch zwingende Bestimmungen des Rechts des Staates, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat, entzogen wird.
(2) Für Verbraucher mit gewöhnlichem Aufenthalt in einem Staat, der weder der EU noch dem EWR angehört, findet deutsches Recht unter Ausschluss des UN-Kaufrechts sowie des deutschen Verbraucherschutzrechts Anwendung. Unabhängig von dieser Rechtswahl gilt für Verbraucher stets auch das zwingende Verbraucherschutzrecht des Staates, in dem sie zum Zeitpunkt des Vertragsschlusses ihren gewöhnlichen Aufenthalt haben.
(3) Erfüllungsort für alle Leistungen aus der mit analogvibes bestehenden Geschäftsbeziehungen ist Tübingen, soweit der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist.
(4) Sofern der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist, ist Tübingen ausschließlicher Gerichtsstand für alle sich aus dem Vertragsverhältnis mit dem Kunden oder aus diesen Allgemeinen Geschäftsbedingungen unmittelbar oder mittelbar ergebenden Streitigkeiten.
